The tests are based on the definitions of qualified small business corporation share and small business corporation in the Income Tax Act. The wording is firm-editable; the sections are fixed by the Act.

QSBC Share Definitions. 110.6(1)

A share qualifies only where the corporation meets the asset, holding-period and ownership conditions.

Small Business Corporation, Sale-Time Tests. 248(1)

At the sale, all or substantially all of the fair market value of the corporation’s assets is used in an active business carried on primarily in Canada.

24-Month Asset and Ownership Testss. 110.6(1)

Throughout the 24 months before the sale, the shares are not owned by an unrelated person and more than 50% of the fair market value of the corporation’s assets is used in an active business.
